Terms and Conditions

1. Introduction
These Terms and Conditions ("Terms") govern your access to and use of the SupplySure platform ("Services"), including our website, applications, and related services. By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
2. Definitions
- "Account" means the user account created to access the Services.
- "Content" or "User Content" means any information, documents, or materials uploaded or submitted by suppliers.
- "Organisation" means a company or entity using SupplySure to discover, invite, and manage suppliers.
- "Portal" means the SupplySure software applications, website, and related services.
- "Supplier" means a company or individual that creates a profile and shares compliance information on the platform.
- "Subscription Plan" means the payment tier selected by an Organisation, with different access levels and features.
- "User" means any individual or entity that accesses or uses the Services.
3. Acceptance of Terms
By creating an Account or using the Services, you accept these Terms. If you are using the Services on behalf of an Organisation, you represent and warrant that you have authority to bind that Organisation.
4. Changes to Terms
We may update these Terms from time to time. We will post updated Terms on the website with a new effective date and notify active users via email at least 14 days before material changes take effect. Your continued use after the effective date constitutes acceptance.
5. Use of Services
5.1 Eligibility
You must be at least 18 years old to use the Services.
5.2 Account Security
You are responsible for maintaining the confidentiality of your Account credentials and for all activities under your Account. Notify us immediately of any unauthorised use.
5.3 Prohibited Uses
You agree not to use the Services for:
- Unlawful purposes or in violation of any applicable laws or regulations;
- Transmitting malicious code, viruses, or harmful materials;
- Interfering with or disrupting the integrity or performance of the Services;
- Attempting to gain unauthorised access to the Services or related systems;
- Harassing, abusing, or harming another person or entity.
5.4 Supplier Content Sharing
Suppliers expressly agree that information they upload will be shared with SupplySure and connected Organisations. Basic supplier profile information may be surfaced to other Organisations to facilitate discovery and engagement.
6. Subscription and Fees
6.1 Fees
Organisation Subscription Plans are subject to fees detailed at the time of subscription. All fees are quoted in Australian Dollars (AUD) and are exclusive of GST unless stated otherwise.
6.2 Payment Terms
Undisputed fees are due within 14 days of invoice. We may suspend access for non-payment after providing 7 days' written notice.
6.3 Invoice Disputes
Disputes must be notified within 7 days of invoice. The undisputed portion remains due on time.
6.4 Refunds
Fees are non-refundable except as required by law or at our sole discretion for material service outages.
6.5 Auto-Renewal
Online subscriptions automatically renew unless cancelled before the renewal date.
7. Intellectual Property
SupplySure retains all intellectual property rights in the Services. Users are granted a limited, non-exclusive, non-transferable licence to use the Services for internal business purposes only. No other intellectual property rights are granted.
8. User Content
8.1 Responsibility
You are solely responsible for the accuracy and legality of your User Content.
8.2 Licence to SupplySure
You grant SupplySure a worldwide, non-exclusive, royalty-free licence to use, reproduce, modify, and distribute User Content as necessary to provide the Services.
8.3 Content Accuracy
You must not upload information you know (or ought to know) is incorrect, untrue, misleading, or materially incomplete.
8.4 Document Review and Verification
SupplySure reviews supplier insurance documents and compliance submissions. This review includes:
- Checking that documents appear genuine to a reasonable person;
- Confirming that company names match supplier company records;
- Verifying that insured amounts and expiry dates are present and consistent.
Important Limitation: SupplySure does not validate directly with insurers, licensing authorities, or other issuing bodies that documents remain current, uncancelled, or unamended after issuance. Users should independently verify the currency and validity of critical documents.
We may use automated tools and/or human reviewers to assist with document checks.
9. Data Privacy
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated by reference.
10. Data Extraction
10.1 Access During Subscription
You may access and extract your data at any time during an active subscription.
10.2 Post-Termination
Upon termination, your data will be retained for 60 days to allow extraction, after which it will be permanently deleted except where law requires retention.
11. Liability and Indemnity
11.1 No Verification of Third-Party Data
SupplySure does not verify the accuracy of information uploaded by Users. Organisations are responsible for confirming the accuracy and currency of supplier information.
11.2 Indemnity
You indemnify SupplySure against any liability, cost, loss, or damage arising from your failure to notify and obtain consent from individuals whose data you upload.
11.3 Warranty
You warrant that you have notified relevant parties that their data will be uploaded and that SupplySure will have access.
12. Disclaimers
12.1 As Is Basis
The Services are provided "as is" and "as available" without warranties of any kind, express or implied, to the maximum extent permitted by law.
12.2 No Warranty of Uninterrupted Service
We do not warrant that the Services will be uninterrupted, error-free, or free from viruses or harmful components.
12.3 No Reliance
Information and advice accessed via the Portal should not be relied upon for personal, medical, legal, regulatory, or financial decisions without independent verification.
12.4 Limitation of Liability
To the maximum extent permitted by law, SupplySure is not liable for any direct, indirect, incidental, consequential, or punitive damages arising from your use of the Services. Nothing in these Terms excludes liability that cannot be excluded under the Australian Consumer Law.
13. Indemnification
You agree to indemnify, defend, and hold SupplySure harmless from any claims, liabilities, damages, losses, and expenses arising from:
- Your use of the Services;
- Your violation of these Terms;
- Your violation of any third-party rights.
14. Termination
14.1 By You
You may terminate your Account with 60 days' written notice to hello@supplysure.net.
14.2 By Us
We may suspend or terminate your access at any time, with or without cause, with or without notice. After termination, you retain access for the remainder of your paid subscription period.
15. Governing Law
These Terms are governed by the laws of Victoria, Australia. You submit to the exclusive jurisdiction of the courts of Victoria.
16. General
16.1 Entire Agreement
These Terms constitute the entire agreement between you and SupplySure regarding the Services.
16.2 Severability
If any provision is found unenforceable, the remaining provisions remain in full effect.
16.3 Waiver
Our failure to enforce any right or provision is not a waiver of such right or provision.
16.4 Assignment
You may not assign these Terms without our prior written consent. We may assign these Terms at any time.
